Item 8.01.Other Events.

On January 22, 2007, Sensor System Solutions, Inc. (the “Company”) failed to pay settlement fund and was evicted from the premises it leased at 45 Parker Avenue, Suite A, Irvine, California, under that Settlement Agreement, entered into as of November 10, 2006, by and between the Company and The Irvine Company, a Delaware corporation (the “Lessor”). The Company is currently seeking a corporate re-structuring to remedy the situation.
