Item 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREMENT

LKQ Corporation and its lenders under LKQ’s Credit Agreement dated February 17, 2004 (the “Credit Agreement”) entered into the Second Amendment to Credit Agreement dated June 1, 2005 (the “Amendment”). The principle terms of the Amendment were: (i) an increase to the aggregate commitment available for borrowing by LKQ from $100 million to $135 million, subject to the terms and conditions of the Credit Agreement; (ii) an extension of the maturity date of the Credit Agreement from February 17, 2007 to June 1, 2010; (iii) revisions to the interest rate applicable to loans under the Credit Agreement; and (iv) revisions to certain financial covenants in the Credit Agreement. A copy of the Amendment is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
