On April 1, 2009, our Board of Directors (the “Board”) approved a seven percent cut in the cash compensation of non-employee directors of the Company as recommended by the Nominating and Corporate Governance Committee of the Board. The new cash compensation program approved by the Board, effective as of April 1, 2009, is attached as Exhibit 10.1 hereto and incorporated herein by reference. The equity compensation of non-employee directors of the Company was not changed.
