Carpenter Technology Announces New Share Repurchase Plan

Carpenter Technology Corporation (NYSE:CRS) today announced its Board of Directors has approved a new share repurchase program of up to $250 million of Carpenters outstanding common shares.

The new share buyback plan is a follow-on to our current $250 million repurchase plan and a continuation of steps in our strategy to effectively deploy excess cash to improve shareholder value, said K. Douglas Ralph, Senior Vice President-Finance and Chief Financial Officer. The new plan is effective upon completion of our existing buyback plan, which is essentially completed.

Repurchases under the new program will be funded with available cash, and made from time to time in either the open market or through private transactions. The timing, volume, and nature of share repurchases will be at the discretion of management, dependent on market conditions, other priorities for cash investment, applicable securities laws, and other factors, and may be suspended or discontinued at any time. All or part of the repurchases may be implemented under a Rule 10b5-1 trading plan, which would allow repurchases under pre-set terms at times when Carpenter might otherwise be prevented from doing so under insider trading laws or because of self-imposed trading blackout periods.
