Item 8.01.    Other Events.


On March 24, 2011, Martin F. Roper, President and Chief Executive Officer and a member of the Board of Directors of the Company, and Jean-Michel Valette, a member of the Board of Directors of the Company, entered into individual sales plans pursuant to Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, for trading in shares of the Registrant’s Class A common stock (the “Plans”). The aggregate number of shares which may be sold pursuant to the Plans is 50,000 shares. The purpose of the Plans is to provide liquidity and investment diversification.


Once executed, transactions under the Plans will be disclosed publicly through Form 144 and Form 4 filings with the Securities and Exchange Commission.
