Item 8.01   Other Events
     On April 29, 2009, the Compensation Committee of the Board of Directors of Cincinnati Bell Inc. adopted a policy that generally limits the number of shares of the Company’s common stock with respect to which future share based awards under the Company’s 2007 Long Term Incentive Plan may be made to no more than 2 million in the aggregate in any calendar year and no more than 1 million to any individual in any calendar year.
