Item 2.02 – Results of Operations and Financial Condition.
On April 18, 2007, Rurban Financial Corp. (the “Company”) issued a news release reporting
results for the first quarter ended March 31, 2007. A copy of the April 18, 2007 news release is
furnished as Exhibit 99.1 and is incorporated herein by reference.

has declared a quarterly shareholder dividend of $0.06 per share payable on May 18, 2007 to all
