Item 8.01. Other Events.
On April 12, 2007, Rurban Financial Corp. (the “Company”) issued a news release announcing
that the Company’s Board of Directors has authorized a stock repurchase program pursuant to which
the Company may purchase up to 250,000 common shares of the Company over the next fifteen months.
Under the repurchase program, common shares may be purchased from time-to-time in the open market
or in privately negotiated transactions and in accordance with applicable federal and state
securities laws and regulations.
A copy of the April 12, 2007 news release is included with this Current Report on Form 8-K as
Exhibit 99.1 and incorporated herein by reference.
