Item 7.01. Regulation FD Disclosure.
     On January 12, 2006, First Acceptance Corporation issued a press release announcing its acquisition of certain assets of Insurance Plus Agency II, Inc. and Yale International Insurance Agency, Inc. and its financing of such acquisition through a new $30 million revolving and term loan credit facility with SunTrust as lead bank and with First Bank as participating bank. The text of such press release is attached as Exhibit 99.
