Item 5.02   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     On November 30, 2005, Charles D. Hamilton, the Senior Vice President, Chief Financial Officer and Treasurer of First Acceptance Corporation (the “Company”), resigned as an officer and employee of the Company. The Company has not yet identified a successor for Mr. Hamilton. Michael J. Bodayle, the Chief Financial Officer of the Company’s insurance company operations, will serve as the interim Chief Financial Officer of the Company until such time that a successor for Mr. Hamilton is identified by the Company.

     On November 30, 2005, First Acceptance Corporation issued a press release announcing the resignation of Mr. Hamilton, the text of which press release is set forth as Exhibit 99.
