Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     On September 26, 2005, Gene H. Bishop, a director of First Acceptance Corporation (the “Company”), notified the Company that he does not intend to stand for reelection as a director of the Company at the Company’s 2005 Annual Meeting of Stockholders. Mr. Bishop’s term as a director of the Company will expire on the date of the 2005 Annual Meeting of Stockholders. Mr. Bishop’s decision was not the result of any disagreement with the Company. The Company’s Board of Directors intends to nominate another person for election as a director in place of Mr. Bishop at the Company’s 2005 Annual Meeting of Stockholders.
