ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On May 13, 2009, the stockholders of Tenneco Inc. (the “Company”) approved an amendment to the Tenneco Inc. 2006 Long-Term Incentive Plan (the “Plan”) to increase the shares available by 2.3 million, with each share underlying an award counting as one share (provided that each share underlying a full value award counts as 1.25 shares) against the total plan availability. The Company’s board of directors previously adopted the amendment on March 11, 2009, subject to stockholder approval. For a description of the Plan (which reflects the increase in shares reserved under the Plan as well as other amendments to the Plan that were previously adopted by the Company’s board of directors), see the Company’s definitive Proxy Statement on Schedule 14A, filed with the Securities and Exchange Commission on March 31, 2009, which is included as Exhibit 10.1 to this report and is incorporated herein by reference. A copy of the Plan (including the amendments) was attached as Appendix A to the Proxy Statement and is included as Exhibit 10.2 to this report and is incorporated herein by reference.

On May 13, 2009, the Company issued a press release announcing the results of the voting of the stockholders at the Company’s annual meeting of stockholders held on May 13, 2009. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
