Approval of Executive Salary Adjustments
On May 16, 2007, the Compensation Committee of the Board of Directors of ITC Holdings Corp. (the
“Company”) approved an increase to the base salary to be paid for the remainder of 2007, effective
immediately, for Richard A. Schultz, a named executive officer of the Company. Mr. Schultz’s
previous salary was $175,000 and his new salary is $225,000.
