Executive Compensation
Bonus Determination for Steven Kriegsman
On November 1, 2006, the Compensation Committee of CytRx Corporation (the “Company”) granted
Mr. Kriegsman, the Company’s President and Chief Executive Officer, a one-time bonus of $200,000 in
recognition of recent extraordinary efforts on behalf of the Company, including his role in
negotiating the Company’s sale to the privately-funded ALS Charitable Remainder Trust of a one
percent royalty in the worldwide sales of the Company’s small molecule drug candidate arimoclomol.
