ITEM 8.01. Other Events.

     On June 17, 2009, BB&T Corporation (the “Company”) repurchased from the United States Department of the Treasury (the “Treasury”) all of the 3,133.64 outstanding shares of the Companys Fixed Rate Cumulative Perpetual Preferred Stock, Series C (the “Preferred Stock”), having a liquidation amount equal to $1,000,000 per share. The Preferred Stock was issued to the Treasury on November 14, 2008 pursuant to the Capital Purchase Program established under the Troubled Asset Relief Program (“TARP”). The aggregate purchase price paid by the Company to the Treasury for the Preferred Stock was approximately $3.1 billion, including approximately $13.9 million of accrued and unpaid dividends.

     Related to this repurchase, the Company will record a charge of approximately $48 million in the second quarter of 2009 to account for the difference between the amortized cost of the preferred stock and the repurchase price.

     The Company has notified the Treasury of its intent to repurchase the outstanding warrant associated with TARP, which allows the Treasury to purchase up to 13.9 million shares of the Company’s common stock.
