ITEM 8.01   Other Events

     On June 5, 2006, BB&T Corporation (“the Company”) entered into an Accelerated Share Repurchase Agreement with Credit Suisse to facilitate the Company’s purchase of 14.0 million shares of its outstanding common stock. The initial purchase price of the shares was $41.76. The transaction was settled on June 7, 2006. This accelerated share repurchase was undertaken to offset the majority of the shares that were issued in connection with the acquisition of Main Street Banks, Inc., which was completed on June 1, 2006.
