ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On August 22, 2005, Heartland Partners, L.P. (the "Company") issued a press
release announcing unaudited results for the fiscal quarter ended June 30, 2005,
which reflected an update from its preliminary unaudited results that was
announced on August 15, 2005. The complete text of the press release is attached
as an exhibit to this current report on Form 8-K.
