Item 8.01. Other Events and Regulation FD Disclosure
On January 25, 2008, Donaldson Company, Inc. (the “Company”) announced that the Company’s Board of Directors has increased the Company’s common stock cash dividend to 11 cents per share, payable March 14, 2008 to shareholders of record as of February 22, 2008. As of December 31, 2007, there were approximately 79,100,000 shares outstanding. The current declaration is the 210th consecutive quarterly cash dividend paid by Donaldson over a time span of 52 years.
