Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

The Board of Directors of AmeriServ Financial, Inc. (the “Company”) amended and restated its articles of incorporation effective December 23, 2009.  The primary purpose of the amendment to the articles of incorporation was to effectuate a decrease in the par value of the Company’s common stock from $2.50 to $0.01.  

Additionally, the Board of Directors of the Company amended and restated its bylaws effective December 17, 2009.  The primary purpose of the amendment was to provide for a standing Corporate Governance Committee and to clarify the responsibilities of all standing committees of the Board of Directors.
