(b) On January 31, 2019, Deborah C. Wright tendered her resignation from the Board of Directors (the “Board”) of Voya Financial, Inc. (the “Company”) and from her position as a member of the Company’s Audit Committee and Nominating and Governance Committee. The Board approved a reduction to the size of the Board from ten to nine directors effective immediately.
