Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 18, 2008, the Tennessee Valley Authority (“TVA”) filed a Current Report on Form 8-K reporting that Thomas C. Gilliland had been confirmed as a Director of the TVA Board of Directors (the “Board”) on March 13, 2008.  TVA hereby makes this Amendment No. 1 to its Current Report on Form 8-K to report that at the Board’s May 19, 2008 public meeting, the Board appointed Director Thomas C. Gilliland as the chairman of the Audit, Governance, and Ethics Committee, and to a position on the Community Relations and Energy Efficiency Committee.
