Item 7.01 Regulation FD Disclosure.

On January 28, 2008, Wendy’s International, Inc. (the "Company") issued a press release announcing that the Special Committee of the Board of Directors of the Company, which is reviewing the Company’s strategic options, believes that it is the final stages of its review process. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.





Item 8.01 Other Events.

On January 26, 2008, the Board of Directors of the Company determined that it will not exercise discretionary authority to vote on any shareholder proposal (other than those submitted pursuant to SEC Rule 14a-8), received in connection with its 2008 annual shareholder meeting if (i) the proposal is received on or before February 11, 2008 (as opposed to January 27, 2008, as was previously stated in the Company’s proxy statement for the 2007 annual shareholder meeting) and (ii) the proponent complies with the other requirements set forth in SEC Rule 14a-4.
