Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 14, 2015, after nearly 12 years of service, Edwin M. Kania, Jr. notified Acceleron Pharma Inc., or the Company, of his resignation from the Company's Board of Directors effective December 14, 2015. At the time of his resignation, Mr. Kania served on the Company's Compensation Committee. Mr. Kania's resignation was not caused by any disagreement with the Company.
