Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Sheelagh Whittaker has announced that she will not be standing for re-election as a director at the April 26, 2019 annual meeting as she will reach the company’s mandatory retirement age for directors in 2019.
