Item 8.01. Other Events.

On June 27, 2016, American Airlines, Inc. (the “Company”) announced that it priced $226,949,000 aggregate face amount of Class B enhanced equipment trust certificates (the “Certificates”). This offering is an additional issuance from the Company’s Series 2016-2 series of enhanced equipment trust certificates, under which an offering of Class AA certificates and Class A certificates closed on May 16, 2016. The Certificates will have an interest rate of 4.375% per annum and a final expected distribution date of June 15, 2024.

The Company intends to use a portion of the net proceeds from the offering to finance its purchase of five Airbus aircraft and three Boeing aircraft scheduled to be delivered from June 2016 to August 2016 and to use the remaining balance for general corporate purposes.

The Certificates are being offered and sold only to persons reasonably believed to be qualified institutional buyers, as defined in, and in reliance on, Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and to non-U.S. persons in offshore transactions outside the United States in reliance on Regulation S under the Securities Act. The Certificates will not be registered under the Securities Act or any other securities laws of any jurisdiction and will not have the benefit of any exchange offer or other registration rights. The Certificates may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
