Item 8.01 Other Events.

On October 2, 2015, Applied Materials, Inc. (“Applied”) issued a notice to redeem all of its 2.650% Senior Notes due 2016 (the “Notes”), of which $400 million aggregate principal amount is outstanding.

The Notes will be redeemed in accordance with their terms on November 5, 2015 (the “Redemption Date”) at a price equal to the greater of (a) 100% of the principal amount of the Notes and (b) the sum of the present values of the remaining scheduled payments of principal and interest on the Notes discounted to the Redemption Date on a semi-annual basis using a discount rate equal to the treasury rate plus 15 basis points, together with any accrued and unpaid interest.

Applied intends to use a portion of the net proceeds from the issuance of its senior unsecured notes on September 24, 2015 to fund the redemption of the Notes.
