Item 8.01 Other Events.

On March 6, 2012, Lincoln Electric Holdings, Inc. (the “Company”) issued a press release announcing that it had acquired all of the outstanding stock of Weartech International, Inc., a California corporation, along with its wholly-owned subsidiary, Weartech International Limited, a company organized under the laws of England and Wales (collectively, “Weartech”). Weartech, a producer of cobalt-based hard facing and wear-resistant welding consumables, is located in Anaheim, California and Port Talbot, Wales.

A copy of the press release issued by the Company on March 6, 2012 is attached hereto as Exhibit 99.1. The press release is also available on the Company’s website at www.lincolnelectric.com.
