Item 8.01 – Other Events.

On October 19, 2010, Carpenter Technology Corporation issued a News Release announcing that it has established two joint venture arrangements with Sandvik Materials Technology focused on high-performance powder metal products. Carpenter Technology Corporation will acquire a 40 percent interest in Sandvik Powdermet AB, located in Surahammar, Sweden, and Sandvik AB will acquire a 40 percent interest in Carpenter Powder Products AB, located in Torshalla, Sweden. A copy of the News Release is included as Exhibit 99.1 hereto.
