Attached is an excerpt from an e-mail communication sent by the President and Chief Executive Officer of eBay Inc. (the Company) to the Companys employees on July 22, 2009 regarding the anticipated commencement of a one-time voluntary stock option exchange program for eligible employees (the Stock Option Exchange Program). The communication attached as an exhibit to this Schedule TO does not constitute an offer to holders of the Companys outstanding stock options to exchange those options. Even though the requisite stockholder approval has been obtained, the Board of Directors of the Company (the Board), the Compensation Committee of the Board and the Chief Executive Officer of the Company have the discretion to determine if and when to implement the Stock Option Exchange Program.
The Stock Option Exchange Program has not yet commenced. eBay will file a Tender Offer Statement on Schedule TO with the Securities and Exchange Commission, or SEC, upon the commencement of the Stock Option Exchange Program. Persons who are eligible to participate in the Stock Option Exchange Program should read the Tender Offer Statement on Schedule TO and other related materials when those materials become available, because they will contain important information about the Stock Option Exchange Program.
