Introductory Statement

This Amendment No. 1 to the Issuer Tender Offer Statement on Schedule TO relates to an offer by Tri-Continental Corporation, a Maryland corporation (the “Fund”), to purchase for cash up to 9,893,955 (approximately 12.5%) of its issued and outstanding shares of common stock, par value $0.50 per share (the “Shares”) upon the terms and subject to the conditions set forth in the Offer to Purchase, dated January 13, 2009 (the “Offer to Purchase”) and amends such Issuer Tender Offer Statement to add an additional exhibit in accordance with Rule 13e-4(c)(1) promulgated under the Securities Exchange Act of 1934, as amended.
