Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Philip G. Behrman, a named executive officer and senior vice president of Worldwide Exploration for Marathon Oil Corporation, has elected to retire effective mid-year 2008. Until then, Behrman will continue to serve in his existing role and an announcement on his successor will be made at a later date.
