(b) On February 20, 2007, Dr. Paul G. Stern informed the Company of his decision not to stand for re-election to the Board of Directors at the 2007 Annual Meeting of Stockholders, which is scheduled to be held in June 2007. Dr. Stern will continue to serve as a director of the Company until the Annual Meeting. Dr. Stern has offered, after the completion of his term, to provide consulting services to senior management regarding strategic business matters, and the Company intends to enter into a consulting agreement with Dr. Stern at such time.
