Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. |
On February 14, 2005, L. Michael Foley and William E. Borsari informed our Board of Directors that they intend to retire from the Board of Directors and all committees thereof effective the day prior to our Annual Meeting of Shareholders, or May 3, 2006. Mr. Foley has served as an independent director of the Company since 1994 and has served as the Company’s Non-Executive Chairman of the Board from May 19, 2005. Mr. Borsari has served as an independent director of the Company since 1992.
