Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

In a letter received December 27, 2005, Michael R. Dowling, the Controller and principal accounting officer of American Software, Inc. (the “Company”), informed the Company of his resignation, which will be effective January 13, 2006. Mr. Dowling resigned in order to take another position.
