Item 4.01. Changes in Registrant’s Certifying Accountant

 

On October 14, 2005, the audit committee of the board of directors of Cell Therapeutics, Inc. (the “Company”) engaged Stonefield Josephson, Inc. (“Stonefield Josephson”) as the Company’s new independent auditors to provide financial audit services effective immediately. The engagement will commence with the review of the Company’s financial results for the third quarter ended September 30, 2005, as well as the audit of its current fiscal year which ends December 31, 2005. Stonefield Josephson has not audited the Company’s financial statements in the two most recent fiscal years or any subsequent interim period.

 

Additionally, during the last two fiscal years and the subsequent interim period through October 14, 2005, the Company did not consult with Stonefield Josephson regarding (i) the application of accounting principles to a specified transaction, either completed or proposed; or the type of audit opinion that might be rendered on the Company’s financial statements; or (ii) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
