ITEM 8.01.

 

On May 12, 2005, BRE Properties Inc. priced a $150,000,000 offering of senior unsecured notes. Interest on the notes is payable semiannually on May 15 and November 15. The notes will mature on May 15, 2010. These five-year notes, rated Baa2 by Moody’s Investor Service and BBB by Standard & Poor’s, were issued at 99.594% of par value, with a coupon of 4.875%. Settlement is scheduled for May 19, 2005.

 

BRE offered the senior unsecured notes under its existing shelf registration statement filed with the Securities and Exchange Commission. Banc of America Securities LLC and J.P. Morgan Securities Inc. acted as joint book-running managers; Commerzbank Capital Markets Corp. and Wachovia Capital Markets, LLC as senior co-managers; and McDonald Investments Inc., PNC Capital Markets, Inc. and Scotia Capital (USA) Inc. as co-managers.
