On April 15, 2005, Asconi Corporation issued a press release announcing that its 2004 Annual Report on Form 10-KSB will be delayed and releasing certain preliminary unaudited 2004 financial information relating to the company’s financial position and results of operations for the fiscal year 2004. A copy of this press release is attached as Exhibit 99.1 hereto. The reader is advised to read this press release in its entirety.
