Item 5.02. Departure of Directors or Principal Officer; Election of Directors; Appointment of Principal Officers.

 

On February 17, 2005, the Board of Directors of Shiloh Industries, Inc. (the “Company”) appointed Robert J. King, Jr. to fill a vacancy on the Board of Directors. Mr. King is also a director of MTD Holdings Inc, which beneficially owns a majority of the Company’s common stock.
