Member of 10% owner group.  Westamerica Bank serves as trustee of 1740 Trust RSP which owns shares of Class B Common Stock of the Issuer.  In such capacity, Westamerica Bank has executed joinders to each of the Amended and Restated Global Hyatt Agreement and the Amended and Restated Foreign Global Hyatt Agreement, and is thereby subject to the provisions of those agreements.
