Regulation FD Disclosure.

A copy of the press release of Wynn Resorts, Limited (the “Company”) announcing the matters described under Item 8.01 is attached hereto and furnished as Exhibit 99.1.

Item 8.01
Other Events.

On January 25, 2019, the Nevada Gaming Control Board (the “NGCB”) filed a disciplinary complaint (the “Complaint”) against the Company and Wynn Las Vegas, LLC (collectively, the “Respondents”) and an accompanying settlement of the Complaint (the “Settlement”). The Complaint relates to the NGCB’s investigation of the response of certain employees to allegations against our founder and previous CEO Steve Wynn. The NGCB is not seeking to revoke or limit Respondents’ licenses or to take action against any current employees.  The Company has agreed to pay a fine, the amount of which will be determined at an upcoming Nevada Gaming Commission meeting.
