Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On July 29, 2016, Advance Auto Parts, Inc. (the Company) announced that it has mutually agreed with George E. Sherman, President, that he will step down as President of the Company, effective August 13, 2016. Mr. Sherman will continue to be employed by the Company to assist with an orderly transition of his responsibilities through the end of the year.

Effective with the termination of his employment at the end of fiscal year 2016, Mr. Sherman will receive severance benefits consistent with the provisions regarding separation from employment without cause contained in his employment agreement with the Company, dated as of April 29, 2013, as subsequently amended, and described in the Company’s 2016 Proxy Statement.
