Item 8.01.  Other Events

On December 19, 2011, GrafTech International Ltd. issued a press release announcing completion of its previously announced share repurchase program and authorization of a new stock repurchase program under which GrafTech may purchase up to ten million shares of its outstanding common stock.  A copy of this press release is filed as Exhibit 99.1 hereto.
