1. Other Events

On November 10, 2005, the Company released a press release concerning divestment of its entire stake in Sify Ltd. Consequent to this transaction, the Company has ceased to be a shareholder of Sify Ltd. A copy of the press release dated November 10, 2005 is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
