Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective April 7, 2009, Brooke E. Evans resigned as Chief Financial Officer, and Treasurer of Dais Analytic Corporation (the “Company”).

On April 9, 2009, the Company’s board of directors appointed Harold N. Mandelbaum, CPA, to the position of Chief Financial Officer of the Company.

Prior to his position with the Company, in September, 1995, Mr. Mandelbaum founded and manages Harold N. Mandelbaum, CPA, PFS, CFP, a private accounting firm that offers outsourced chief financial officer services, and other financial services to small public and private company clients in a variety of industries, as well as offering financial services to high net worth individuals.  From 1990 until 1992, Mr. Mandelbaum worked for Lehman Brothers Holding Inc. in retail and institutional analysis and marketing positions. From 1992 and ongoing, Mr. Mandelbaum has a working relationship with Joseph A Salamo, CPA, PFS, CFP, as a business consultant.

Mr. Mandelbaum earned a BA in Economics with a minor in Finance from Syracuse University in 1990, and his BA in Accounting from William Patterson College in 1992. Mr. Mandelbaum is a licensed CPA in the State of New York and a member of the American Institute of Certified Public Accounts, the New York State Society of Certified Public Accountants, and The Personal Financial Planners Division of the A.I.C.P.A.
