Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 24, 2008, the Compensation Committee of the Board of Directors of Rurban Financial Corp. (the “Company”) approved an award of 10,000 restricted common shares, without par value, of the Company (the “Restricted Shares”) to Kenneth A. Joyce, President and Chief Executive Officer of the Company, pursuant to the Rurban Financial Corp. 2008 Stock Incentive Plan (the “2008 Plan”). The Restricted Shares are subject to restrictions on transferability and risk of forfeiture until they become fully vested on December 31, 2010. The terms and conditions applicable to the Restricted Shares are set forth in the 2008 Plan and the Rurban Financial Corp. 2008 Stock Incentive Plan Restricted Stock Award Agreement (For Employees), the form of which is filed herewith as Exhibit 10.2 and incorporated herein by reference.
