Item 2.02. Results of Operations and Financial Condition.

On January 23, 2008, Rurban Financial Corp. (the “Company”) issued a news release reporting financial results for the fiscal year and fourth quarter ended December 31, 2007. A copy of the January 23, 2008 news release is furnished as Exhibit 99.1 and is incorporated herein by reference.

On January 23, 2008, the Company issued a news release announcing that its Board of Directors has declared a quarterly shareholder dividend of $0.08 per share payable on February 22, 2008 to all shareholders of record on February 8, 2008.
