ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On March 29, 2006 Colonial Commercial Corp. (the "Company") issued a press
release announcing its fourth quarter and year end 2005 financial results. A
copy of this press release is furnished as Exhibit 99.1 to this report.
