Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Michael J. Frank has notified Monsanto Company (the “Company”) of his intention to resign as Senior Vice President, Chief Commercial Officer, effective September 8, 2017. Brett D. Begemann, President and Chief Operating Officer of the Company, will assume Mr. Frank’s commercial responsibilities at such time.
