Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment
of Certain Officers; Compensatory Arrangements of Certain Officers
Richard B. Clark has informed the company of his intention to step down as Vice President and Controller of Monsanto Company effective December 7, 2009. Mr. Clark will serve as Special Assistant to the Chief Financial Officer through his retirement from the company on January 29, 2010.
Nicole M. Ringenberg, currently Vice President, Finance, Seeds & Traits, is expected to be appointed as Mr. Clark’s successor effective December 7, 2009.
