Item 2.02. Results of Operations and Financial Condition.

 

On January 3, 2013, Accuray Incorporated (the “Company”) issued a press release announcing its preliminary financial results for the quarter ended December 31, 2012.  The Company will hold a conference call on January 3, 2013 to discuss the preliminary financial results.  A copy of the Company’s press release dated January 3, 2013, titled “Accuray Announces Preliminary Results for Second Quarter Fiscal 2013 and Updated Guidance for Fiscal 2013; Announces Restructuring” is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 2.05.  Costs Associated with Exit or Disposal Activities.

 

On January 3, 2013, in an effort to contain its costs, the Company announced a restructuring of its operations through the elimination of approximately 13 percent of its workforce, mostly in the United States.  Most of the restructuring will be completed in the third quarter of fiscal 2013.

 

The Company estimates the total restructuring-related non-recurring charges to be approximately $3 million to $4 million. The Company expects to record the restructuring charge in the third fiscal quarter of 2013.
